Terms of sale
The commercial conditions of a Dashly subscription: what is sold, at what price, how it is paid, how long it runs and how it ends. Use of the service itself is governed by the terms of service.
01Scope
These terms govern every subscription to Dashly sold by BEBRANDED, 34 avenue Chanzy, 93250 Villemomble, France, RCS Bobigny 984 530 212. They are the sole basis of the commercial relationship and prevail over any purchase conditions of the customer, whatever they provide.
The service is sold exclusively to professionals acting in the course of their business. It is not offered to consumers.
02What is sold
A subscription grants access to the Dashly application for a number of agency seats, for the duration of the subscription. Plans differ in the number of seats included and in the modules they unlock; the plans in force, their content and their prices are those displayed in the application at the time the order is placed.
- Billing is based on agency seats — the people in your organisation who hold an account in the workspace.
- Client users of the portal are free and unlimited, whatever their number.
- A seat used beyond the number included in the plan is invoiced at the additional-seat price shown at the time of the order.
03Free trial
A new workspace opens with a free trial of 14 days, with no card required. At the end of the trial, access to paid features stops unless a subscription is taken out; the data is retained and becomes available again as soon as a plan is chosen.
The trial does not convert automatically into a paid subscription. No charge is made without an order.
04Placing an order
An order is placed from the application by choosing a plan and confirming payment. The contract is formed when the order is confirmed and the first payment is accepted; a confirmation is sent by email.
The customer is responsible for the accuracy of the billing details provided, including the intra-EU VAT number where applicable.
05Prices
Prices are quoted in euros excluding tax. French VAT at the rate in force is added where applicable; the reverse charge applies to customers established in another EU member state who provide a valid intra-EU VAT number.
Prices may change. A change never affects a period already paid for: it applies from the following renewal, and subscribers are informed by email at least 30 days beforehand. A customer who does not accept a new price may terminate before it takes effect, under the conditions below.
06Payment
Payment is made by bank card through Stripe, our payment provider. Card details are entered on Stripe's pages and are never stored on our servers.
Subscriptions are payable in advance: monthly on the anniversary date, or annually where an annual plan is chosen. Invoices are issued for each period and are available in the application.
No discount is granted for early payment.
07Late payment
In accordance with article L441-10 of the French Commercial Code, any sum unpaid on its due date automatically bears late-payment interest, without a reminder being necessary, at the rate applied by the European Central Bank to its most recent refinancing operation increased by 10 percentage points.
A fixed recovery indemnity of €40 is also due for each unpaid invoice, without prejudice to additional compensation where recovery costs actually incurred exceed that amount.
Where an invoice remains unpaid 15 days after a formal notice has gone unanswered, access to the service may be suspended until the situation is settled. Suspension does not terminate the contract and does not suspend the invoicing of the current period.
08Duration, renewal and termination
A subscription runs for the period chosen — one month or one year — and is tacitly renewed for the same period unless it is terminated.
Termination is done from the application and takes effect at the end of the current period. The period underway remains due, and no pro-rata refund is made for a period already started.
We may terminate the contract for a serious breach of the terms of service that is not remedied within 15 days of a formal notice, and, in that case, refund the unused part of a period already paid for.
After the contract ends, data remains exportable for 30 days, then is deleted as described in the terms of service.
09Right of withdrawal
The service is sold to professionals for the purposes of their business. The right of withdrawal provided for consumers by the French Consumer Code does not apply, including the exception at article L221-3, since the subscription falls within the customer's main field of activity.
The free trial exists precisely so that the service can be assessed before any payment.
10Changes to the service
The service evolves during the subscription. Features are added and occasionally withdrawn; the removal of a significant feature is announced by email in advance. A change that substantially reduces the content of the plan subscribed to entitles the customer to terminate without charge before it takes effect.
11Liability and force majeure
Our liability under a subscription is limited as set out in the terms of service, namely to the amounts paid over the twelve months preceding the event giving rise to it.
Neither party is liable for a failure caused by an event of force majeure within the meaning of article 1218 of the French Civil Code, including a prolonged failure of the electronic communications networks or of an essential hosting provider.
12Personal data
The processing of personal data connected with a subscription is described in the privacy policy, which also sets out the respective roles of the customer as controller and of ourselves as processor for the data the customer holds about its own clients.
13Governing law and jurisdiction
These terms of sale are governed by French law. Any dispute relating to their formation, interpretation or performance that cannot be settled amicably will be brought before the Commercial Court of Bobigny, France, notwithstanding multiple defendants or third-party proceedings.
